Terms and Conditions for using the StarTaxi aplication

Thank you for the interest shown for the Star Taxi App application developed and operated by Star Taxi App srl.

Throughout the use of the Star Taxi application, you undertake to observe the following terms and conditions.

1. Terms and Conditions of use of the computer application Star Taxi APP – Mandatory contractual value

1.1. These Terms and Conditions of use of the Star Taxi APP computer application (hereinafter referred to as “Terms and Conditions”) have binding value between you as a user, and Company Star Taxi APP S.R.L., as owner of the Star Taxi APP computer application and holder of rights and obligations under these Terms and Conditions, Romanian commercial company, legally incorporated and operating under Romanian law, having its registered office in in Bucharest, sector 6, str Splaiul Independentei, nr. 319, OB 421, J40/13115/2011, Sole Registration Code RO 29300987, phone 0732.592.210, email [email protected], IBAN account RO77 INGB 0001 0081 9967 8910, opened at ING Bank Unirii.

1.2. These Terms and Conditions are based on the offer made by Company Star Taxi APP S.R.L., in accordance with the provisions of S.1.188 Civil Code, and by accepting these, they acquire a binding contractual value between Company Star Taxi APP S.R.L. and you. To avoid any doubt, it is provided that by accepting the Terms and Conditions you unconditionally accept in the „Authentication” section the current version of the Terms and Conditions. The use of the Star Taxi Application is allowed only under the terms and conditions set forth in these Terms and Conditions.

1.3. The content of the Terms and Conditions may be amended unilaterally at any time by Company Star Taxi APP S.R.L. The entry into force of the new content of the Terms and Conditions will be made by accepting their new version, in the manner shown in art.1.2. above, with effects for the future.

1.4. If you wish to unsubscribe and to no longer be bound by the Terms and Conditions or you wish to disable the account created in the Star Taxi Application, please ask us in writing to disable the account already created. To avoid any doubt, it is provided that your unsubscription has no effect on the legal effects produced during or in connection with the period in which you were registered in the Star Taxi Application.

2. Definitions of the terms used:

• “Star Taxi Application” – represents the part of the application developed by Star Taxi APP S.R.L. under the name “Star Taxi”, respectively (i) the module “Customer”, the section of it compatible with the operating system of the Customer’s mobile phone, insofar as it is compatible with the Star Taxi Application, as specified in these Terms and Conditions, as well as (ii) part of the Star Taxi web application, available to the Customer through Internet access. In order to avoid any doubt, certain services or functionalities from the Star Taxi Application may be modified or may not be provided at any time, at the full discretion of Star Taxi APP S.R.L.
• “Transport Authorizations” – represents any and all authorizations, licenses, permits, approvals or similar documents issued by the competent authorities according to the provisions of Law no. 38/2003 and which give the right to Drivers and/or Carriers, as they are defined below, to perform passenger transport services as a taxi, according to the provisions of Law no. 38/2003.
• “Customer” – represents the natural or legal person who legally uses the Star Taxi Application, by adopting these Terms and Conditions.
• “Carrier” – represents the taxi carrier as defined by the provisions of Law no. 38/2003.
• “Terms and Conditions” – represents these Terms and Conditions together with any and all documents to which reference is made and about which it is specified that they are an integral part thereof.
• “Star Taxi Services” – means the services mentioned in art. 5 of these Terms and Conditions
• “Star Taxi Additional Services” – means the additional services mentioned in art. 5 of these Terms and Conditions.
• “Star Taxi APP S.R.L.” – Company STAR TAXI APP SRL, having its registered office in Bucharest, Splaiul Independentei, Nr. 319, OB 421, Intrarea III, Sema Parc, Sector 6, registered with the Trade Register under no. J40/13115/2011, Sole Registration Code RO29300987, bank account IBAN RO77 INGB 0001 0081 9967 8910 opened at ING Unirii branch, represented by Mr. Vicol Moldoveanu, as administrator.
• “Driver” – means taxi driver in accordance with the provisions of Law no. 38/2003.
• “User” – means any of the Customers, Drivers and/or Carrier, as the case may be.
• “Authorization Area” – represents the geographical and legal area for which the Carrier has the right to provide Transport Services, in accordance with the provisions of Law no. 38/2003, and to the extent that the Star Taxi Application is legally available in such an area.

4. Conditions for using the Star Taxi Application

A. General Conditions of Use of the Star Taxi Application

4.1. The Customer hereby represents and warrants that he/she is over 18 years old and that he/she has full legal competence.

4.2. The Customer represents and warrants that the access to the Star Taxi application and the use thereof or any of its functions is granted by Star Taxi APP S.R.L. exclusively for non-commercial uses of the Star Taxi application. Any commercial use of the Star Taxi application or any of its functions may be made only with the prior written consent of Star Taxi APP S.R.L.

4.3. The Customer represents that he/she fully understands and fully accepts that through the Star Taxi Application, the Customer will be able to place requests for Transport Services to Drivers and/or Carriers in order to conclude transport agreements without guaranteeing him/her in any way (explicitly or implicitly) the conclusion of any transport agreements. The Customer represents that he/she fully understands and fully accepts that Star Taxi APP S.R.L. is not and does not become at any time part of the pre-contractual transport activities as well as of the transport agreement that will be concluded exclusively between the Customer, on the one hand, and the Driver and/or Carrier, on the other hand. The Customer, hereby, waives any and all present or future claims resulting from any and all pre-contractual activities or omissions as well as from those related to or in connection with the Transport Services and/or the transport agreement concluded between the Customer, on the one hand, and Driver and/or Carrier, on the other hand.

4.4. The Customer represents that he/she fully understands and fully accepts that these Terms & Conditions may be amended at any time, at the free and simple discretion of Star Taxi APP S.R.L., including the possibility to fully terminate the licensing of the Star Taxi Application in any way. The Customer declares that he/she fully understands and fully accepts that in the absence of the above, Star Taxi APP S.R.L. would never have allowed the Customer to have access to the Star Taxi Application.

4.5. The collection, storage and processing of any personal data for the execution of any rights and obligations related to these Terms and Conditions will be done in full compliance with the Privacy Policy, which is an integral part of these Terms and Conditions.

B. Minimum technical conditions for accessing and using the Star Taxi Application

4.6. The Star Taxi application can work on any type of device (phone or tablet) with Android operating system and which meets the following conditions:

(a) the device has a GPS chipset;

(b) the device has all the options specific to optimal active operation, namely:

– GPS option enabled;

– all activated location services;

– the mobile data option enabled.

(c) operating system minimum Android 5.0 and minimum IOS 11.0.

4.7. The Star Taxi application is compatible with any of the mobile networks with 3G or 4G mobile data connection in Romania.

4.8. In case of problems in activating the Star Taxi Application, please contact the Star Taxi APP S.R.L. call centre, part of the Star Taxi Additional Services.

4.9. Although Star Taxi APP SRL has made all the due diligence to ensure the accessibility and use of the technical interface included in the Star Taxi Application via the Internet („online”) of the information related to the Star Taxi Application, Star Taxi APP S.R.L. is not responsible for the compatibility of the equipment, systems or software used by the Customer with the technical interface included in the Star Taxi Application for accessing/providing online the functions of the Star Taxi Application. Notwithstanding the foregoing Star Taxi APP S.R.L. DOES NOT WARRANT the operation of the Customer’s account and/or any functionality of the Star Taxi Application in situations where

– the Customer’s device is used to connect to the wireless Internet;

– any other applications not authorized by Star Taxi APP S.R.L. are installed on the Customer’s device and modify the normal operating parameters of the application (eg Fake GPS);

– specifically, if on the Customer’s device on which the Star Taxi Application is installed, other applications or software, that intervene in any form during the normal operation of the Star Taxi Application, modifying any of its parameters, are installed, Star Taxi APP S.R.L. does not warrant the operation of the platform, and the respective Customer may be sanctioned by the (temporary or permanent) interruption of the use of the Star Taxi Application.

5. Star Taxi application. Star Taxi services. Additional Star Taxi Services

5.1. In consideration of the payment of royalties provided by these Terms and Conditions, Star Taxi APP S.R.L. grants the Customer a license regarding the Star Taxi Application which is:

– non-exclusive;

– non-transmissible;

– temporary, for the period for which the corresponding royalty was paid

– territorially limited to Romania, provided that the Star Taxi Application is available only in certain locations in Romania;

– for a single device;

5.2. The license on the Star Taxi Application aims at facilitating the access to the Transport Services by the Customer’s placement of some Requests of Transport Services to the Drivers and/or Carriers for the conclusion of transport agreements.

5.3. By using the Star Taxi Application, no contractual/tortious interference is created and it cannot be interpreted that such interference is created between (i) Star Taxi APP S.R.L and Customers or (ii) any other contractual relationship between Star Taxi and Drivers and/or Carriers. In order to avoid any doubt, it is provided that all and any obligations arising from or in connection with the conclusion, performance and/or termination in any way of the Transport Services involve exclusively the Driver and/or the Carrier, on the one hand, and the Customer, on the other hand, Star Taxi APP SRL being a perfect third party in relation to the Transport Services. Also, Star Taxi APP S.R.L. does not warrant in any way the Customer that he/she will be able to conclude transport agreements by using the Star Taxi Application.

5.4. Any and all intellectual property rights relating to the Star Taxi Application are and remain the property of Star Taxi APP S.R.L. and the Customer represents and warrants that he/she will fully observe the rights of Star Taxi APP S.R.L. on the Star Taxi Application and, without prejudice to the generality and extent of this obligation, will not:

– make any copy of the Star Taxi Application, in whole or in part;

– perform any actions to decompile the Star Taxi Application, in whole or in part;

– perform any reverse engineering actions of the Star Taxi Application, in whole or in part;

– perform any work derived from the Star Taxi Application;

– attempt to enter, in any way, in the content of the Star Taxi Application and shall not delete or modify in any way the materials and/or information delivered through the Star Taxi Application;

– attempt to test or scan the vulnerability of any Star Taxi Application system, accessing any servers or services in the Star Taxi Application, whether or not these are public, without the prior authorization of Star Taxi APP S.R.L.;

– attempt to interfere with the operation of the hosting servers or the Star Taxi Application in any way, including attacking them by flooding or DOS;

– use the Star Taxi Application for the distribution of unsolicited commercial messages („spaming„), political, racial, discriminatory in any way, cultural, commercial or for any purpose other than the sending of justified personal messages, in accordance with these Terms and Conditions;

– engage in any other illegal or otherwise prohibited activities, including those uses that will be subsequently declared prohibited by Star Taxi APP S.R.L., or as a result of the amendment of these Terms and Conditions, by communications of any kind.

5.5. Star Taxi APP S.R.L. provides, in an auxiliary and discretionary manner in relation to the license of the Star Taxi Application the following Additional Star Taxi Services:

– call centre available at: +40 732 592 210 in the time interval 24/7.

5.6. Star Taxi services may be amended at any time, at the sole discretion of Star Taxi APP S.R.L. and the changes will become mandatory by amending these Terms and Conditions. Star Taxi Additional Services may be amended and discontinued by Star Taxi APP S.R.L. at any time, with immediate effect, without the need to amend these Terms and Conditions.

6. Royalties due. Marketing policies of Star Taxi APP S.R.L.

6.1. For the brokerage activities carried out with the help of the Star Taxi Application, no royalties are due by the Customer. For the avoidance of any doubt, any estimate of the value of a transaction associated with the provision of any Transportation Services displayed by the Star Taxi Application has only an informative and estimative value and does not bind in any way the completion of the Transportation Services in accordance with such estimate.

6.2. In the event that the Customer agrees to pay by bank card through the Star Taxi Application, upon any conclusion of a transport agreement, the Customer will owe Star Taxi APP S.R.L. a royalty of 2 [two] RON (the amount that includes the related VAT) for each transport contract concluded through the Star Taxi Application and which will be paid by debiting the Customer’s bank account. For the avoidance of any doubt, the mentioned royalty is due by the Customer (i) for concluding the transport agreement and not for the performance thereof, (ii) regardless of whether or not the Customer subsequently cancels the order or does not show up for the order and (iii) regardless of the final value of the transport service provided. In case of payments made by the Customer by bank card, given the requirements of the payment operators, the Customer declares that he/she understands and accepts that minimum values ​​of a transaction may be imposed, a value that can change over time. Thus, in case the value of a Customer’s transaction is lower than the minimum value mentioned above, the Customer agrees that the debiting of his/her bank card and the payment of the Transport Services performed by the Customer should be made by relating to such a minimum value. The minimum value is 12 [twelve] RON and does not include the royalty of 2 [two] RON due by the Customer to Star Taxi APP S.R.L.

6.3. By derogation from any legal provisions contrary to the payment of the royalty, it is considered legally made only on the date of the full crediting of the Star Taxi APP S.R.L. account no. RO77INGB0001008199678910 open at bank ING Bank. Partial payments will not be considered.

6.4. Any amendments in royalties or the introduction of new royalties will be communicated and will become effective after their publication in the Terms and Conditions.

6.5. At the request of the Customer, Star Taxi APP S.R.L. will make available to the Customer (in electronic format, at the email address specified by the Customer when registering in the Star Taxi Application) invoices for the Royalties that Star Taxi APP S.R.L. collects from the Customer.

7. Customer’s Obligations

7.1. The customer in relation to Star Taxi APP S.R.L.:

– undertakes to pay the royalties provided by art. 6 above;

– undertakes to follow exactly the registration procedures in the Star Taxi Application and to make available to Star Taxi APP S.R.L. all required data and documents;

– undertakes to comply with any and all legal requirements related to the transport agreement that it seeks to conclude;

– undertakes to show up for the travel in the place indicated and at the time indicated by the Driver on the occasion of concluding the transport agreement through Star Taxi Application;

– undertakes to have a civilized and decent behaviour in the relationship with the Driver. In this respect, considering the incidental legislation, the Customer represents that he/she understands and accepts the fact that he/she may not be allowed to board insofar as he/she is intoxicated or under the influence of drug use, or if he/she causes scandal, etc.

– undertakes to respect the intellectual property rights of Star Taxi APP S.R.L. and immediately bring to its notice any infringement or suspicion of infringement of its intellectual property rights. In order to avoid any doubt and without prejudice to the generality of this obligation, the Customer undertakes to respect (a) any and all copyrights related to the Star Taxi Application or other copyrights, in accordance with the provisions of Law no. 8/1996, (b) the trademark rights held by Star Taxi APP S.R.L. either at national level, pursuant to Law no. 84/1998, or at Community level and/or (c) any other intellectual property rights belonging to Star Taxi App S.R.L or any of its affiliates;

– undertakes to provide accurate data in all interactions and communications with the Star Taxi Website and Application;

– assumes the responsibility for its actions on the Website, the Star Taxi Application and in the presence of our partners such as Drivers;

– agrees to receive offers and promotional materials from Star Taxi APP S.R.L. and its partners; in accordance with the marketing preferences set in the personal account from its Website or the Star Taxi Application;

– shall not publish obscene, defamatory, abusive materials in any way, or illegal in accordance with current legal provisions;

– shall not abuse the functionality of the Star Taxi Website and Application and shall not take any action in relation to them that may cause damage to Star Taxi APP SRL, including but not limited to, the introduction of viruses, malicious code, modification, copying or deletion of any information on the Website except personal data;

– shall not commit any kind of fraud with or in connection with the Star Taxi Application.

– agrees to the processing of personal data in order to use the Star Taxi Application;

– agrees that any feedback received from Drivers and/or Carriers or from the authorities may be used in the algorithms of the Star Taxi Application when proposing potential Drivers and/or Carriers to perform the Transport Services.

– that it understands and accepts that Star Taxi APP S.R.L. cannot guarantee a certain level of Customer satisfaction resulting from or in connection with the Transport Services contracted through the Star Taxi Application and also that Star Taxi APP does not have and cannot have any liability resulting from or in connection with a transport agreement concluded through the Star Taxi Application.

– will not use the Star Taxi Website and Application for spam activities in any way, including election campaigns, the collection of names or email addresses or any data provided by the Website and/or the Star Taxi Application;

– that it understands and accepts that Star Taxi APP S.R.L. is not and cannot be in any way held liable, contractually or in tort and regardless of the legal theory which it may claim), for any harmful activities (related to goods and/or persons) caused to the Customer or to any persons benefiting from the Transport Services contracted by the Customer through the Star Taxi Application, caused by Drivers and/or Carriers and/or any person who by abusing of the Star Taxi Application, provide the Transport Services without having such a right or claim a right that is no longer valid at the time of providing the Transport Services or in case it no longer has a valid contractual relationship with Star Taxi APP SRL to use the Star Taxi Application.

– undertakes to exactly comply with any other obligations of these Terms and Conditions.

8. Limiting or prohibiting access to the Star Taxi Application

8.1. The Customer bears full responsibility for the accuracy of the data provided, as well as for the confidentiality thereof. He/she will immediately notify Star Taxi APP S.R.L. in case his/her account or any data related to it are compromised, including but not limited to name, date of birth, credit card data, passwords, usernames and others. The Customer assumes full responsibility for his/her activity on the Website and in the Star Taxi Application, for comments, posts, account, data and any other interaction with the Website or the Star Taxi Application. The user is responsible for restricting access to his/her devices, where appropriate. Therefore, he/she is responsible for maintaining the integrity of his/her account in the Star Taxi Application and assumes responsibility for all activities that take place through it. Fraudulent, abusive use, unauthorized access, the copying or modification of data, images, or of any part of the Website is prohibited and will be punishable by law. Star Taxi APP S.R.L. reserves the right to close, suspend or alter the access of any Customer to the Star Taxi Webite and/or Application or to any part thereof, without notice and without evidence, as a result of suspicions of abusive use, contrary to the purpose of the Star Taxi Website and Application, in relation to the Customer.

8.2. Star Taxi APP S.R.L. is not and cannot be construed as part of the contractual transport relationships resulting from the licensing of the Star Taxi Application in accordance with these Terms and Conditions. The transport agreement is concluded directly and exclusively between the Driver and/or the Carrier and the Customer, Star Taxi Application facilitating only the possibility of the Customer to directly contract the Transport Services. However, the Customer represents that he/she understands and agrees that Star Taxi APP SRL cannot be indifferent to the manner in which the Transport Services are performed and provided, on condition that they are directly reflected in (i) the number of downloads of the Star Taxi Application by Customers and Drivers and/or Carriers and (ii) the frequency of use of Star Taxi Application by Customers and Drivers and/or Carriers. Thus, in view of all the above, the Customer agrees that Star Taxi APP S.R.L., without prejudice to the right of Star Taxi APP S.R.L. to terminate at any time the agreement with the Customer and in addition, to apply a set of sanctions that may be in the form of a temporary suspension of the possibility to receive/request Transport Services through the Star Taxi Application (which will not exceed 72 hours for individual breaches and respectively 120 hours in case 2 or more individual breaches are committed – the relapse situation – within one week from the first individual breach) or the prohibition of using the Star Taxi Application for a maximum of one year after termination by Star Taxi APP SRL of the agreement with a certain Customer.

8.3. The Customer expressly agrees that the sanctioning system provided by art. 8.1. and 8.2. above be applicable in any situations of breach of these Terms and Conditions and, without prejudice to the generality of this clause, in particular in situations of fraud committed with the help of or in connection with the Star Taxi Application.

9. Disclaimer and Limitation of Liability of Star Taxi APP S.R.L.

9.1. The provision of the Star Taxi Application by Star Taxi APP S.R.L. it is made „AS IS„, respectively „AS AVAILABLE„, without any representation or approval and without any warranty, be it express or implicit.

9.2. Star Taxi APP S.R.L. and entities associated with or affiliated with Star Taxi APP SRL, including any employee, consultant, lawyer, manager or administrator thereof, shall not be liable for any direct, indirect or related loss and for any damages (including, without being limited to: loss of business or opportunity, loss of data, income or profits of any kind) arising out of or in connection with the use of the Star Taxi Application.

9.3. Star Taxi APP SRL does not represent and does not offer any warranty that the Star Taxi Application will meet the Customer’s expectations otherwise than as explicitly provided in these Terms and Conditions or that the functionality of the Star Taxi Application will be uninterrupted or error free, that defects will be corrected or that the Star Taxi Application products within this application or the server that makes them available are free of computer viruses or any other elements that may affect the systems with which it interacts directly or indirectly.

9.4. Star Taxi APP S.R.L and/or the entities associated or affiliated with Star Taxi APP S.R.L reserve the right to deny you access at any time (even without notice) to the Star Taxi Application and not to be held liable for the unauthorized/fraudulent use of the Star Taxi Application.

9.5. Star Taxi APP SRL and/or entities associated or affiliated with Star Taxi APP SRL reserve the right to refuse or remove (even without notice) images or texts posted in the Star Taxi Application or transmitted by means of communication and/or use of offers.

9.6. In any and all situations in which the liability of Star Taxi APP SRL is involved, any and all liability, resulting from these Terms and Conditions, for any other contractual or tortious cause, and regardless of the theory or legal cause on which it is based, will be limited the amount of 100 [one hundred] Euro.

9.7. Star Taxi APP S.R.L will not be held liable in any case of force majeure or unforeseeable circumstance.

10. Communications through the Star Taxi Application

A. Communications between the Driver and/or the Carrier and the Customer

10.1 The Driver and/or the Carrier agree to provide contact details by phone. However, only the Customer will be able to initiate communication with the Driver and/or the Carrier through the indicated phone or directly through the Star Taxi Application (namely push notification messages). The communications initiated by the Customer will refer strictly to those related to the conclusion and performance of the transport agreement between the Driver and/or the Carrier and the Customer.

B. Communications between Star Taxi APP S.R.L. and Customer

10.2. The Customer will allow the sending of any communications from Star Taxi APP S.R.L., including the commercial communications according to the preferences registered in the personal account on Star Taxi Website or Application, through:

– the Star Taxi Application;

– by email to the address indicated when registering in the Star Taxi Application;

– by means of the mobile phone indicated when registering in the Star Taxi Application;

10.3. The Customer will validly communicate with Star Taxi APP S.R.L. through:

– the Star Taxi Application;

– for support matters, as set forth in these Terms and Conditions in the Star Taxi additional Services section.

C. Other communications from third parties

10.4. The Customer agrees that by means of the Star Taxi Application, Star Taxi APP S.R.L. shall facilitate the communication of commercial messages of third parties, according to the marketing preferences registered in the personal account of Star Taxi Application.

10.5. Star Taxi APP S.R.L. is in no way involved in the description of the content of such messages and will not be held liable in any way for situations where such messages from third parties result in any form of legal liability. The Customer represents and warrants that he/she fully understands all these and fully agrees with the absence of any liability of Star Taxi APP S.R.L.

11. Applicable Law and Jurisdiction

11.1. These Terms and Conditions shall be governed by and construed exclusively in accordance with Romanian law.

11.2. Any and all disputes will be settled by the courts of material jurisdiction from the seat of Star Taxi APP S.R.L.

12. Final terms

12.1. These Terms and Conditions represent the sole agreement between the Parties mentioned herein and supersede any other prior agreements and/or understandings between the Parties regarding the subject matter of these Terms and Conditions.

12.2. By the express agreement of the Parties, the possible nullity or inapplicability of a clause of the Terms and Conditions is limited to this and does not affect in any case the other contractual provisions. In this case, the Parties undertake to negotiate in good faith in order to establish a new provision in relation to which there is a mutual agreement, which will replace the null or unenforceable provision and which, as soon as possible, will produce effects in accordance to the intentions expressed in the Terms and Conditions.

12.3. No waiver of any breach or non-compliance with these Terms and Conditions, whether or not the other Party is aware of it, shall be deemed a waiver of any subsequent breach or a breach of a similar or different nature.

12.4. Failure by a Party to ask the other party to fulfil any provision contained in these Terms and Conditions shall not be deemed to be a waiver of the rights of the above-mentioned Party with respect to such provisions.

12.5. The Customer expressly agrees to waive the possibility to claim the theory of unpredictability under the conditions established by S.1271 Civil Code. Also, the Driver and/or the Carrier expressly and exclusively assume the legislative risks.

12.6. The Customer expressly represents that they have fully understood and accept exactly the clauses of these Terms and Conditions.

12.7. These Terms and Conditions shall be supplemented with:

Annex no. 1. – Privacy Policy.

Va multumim pentru interesul aratat pentru aplicatia Star Taxi App dezvoltat si operat de catre societatea Star Taxi App srl.

Pe toata durata folosirii aplicatiei Star Taxi va obligati sa respectati urmatorii termeni si conditii:

1. Termenii si Conditiile de folosire a aplicatiei informatice Star Taxi APP– Valoare contractuala obligatorie

1.1. Prezentii Termeni si Conditii de folosire a aplicatiei informatice Star Taxi APP (in continuare denumiti “Termeni si Conditii”) au valoare obligatorie intre dvs. in calitate de utilizator, si Societatea Star Taxi APP S.R.L., in calitate de proprietar al aplicatiei informatice Star Taxi APP si titular de drepturi si obligatii in prezentii Termeni si Conditii, societate comerciala romana, legal infiintata si functionand in baza legilor romane, cu sediul social situat in Bucuresti, sector 6, str Splaiul Independentei, nr. 319, OB 421, J40/13115/2011,CUI RO 29300987, telefon +40 732 592 210, email [email protected], cont IBAN RO77 INGB 0001 0081 9967 8910, deschis la ING Bank Unirii.

1.2. Prezentii Termeni si Conditii au la baza oferta facuta de catre Societatea Star Taxi APP S.R.L., in conformitate cu dispozitiile art. 1.188 Cod Civil, iar prin acceptarea acestora de catre dvs. capata valoare contractuala obligatorie intre Societatea Star Taxi APP S.R.L. si dvs.. Pentru evitarea oricarui dubiu se prevede ca prin acceptarea Termenilor si Conditiilor de catre dvs. urmeaza a se intelege acceptarea neconditionata de catre dvs. in sectiunea de “Autentificare” a versiunii in vigoare a Termenilor si Conditiilor. Folosirea Aplicatiei Star Taxi este permisa numai in termenii si conditiile prevazute in prezentii Termeni si Conditii.

1.3. Continutul Termenilor si Conditiilor se pot modifica unilateral oricand de catre Societatea Star Taxi APP S.R.L.Intrarea in vigoare a noului continut al Termenilor si Conditiilor se va face prin acceptarea noi versiunii a acestora de catre dvs., in modalitatea aratata la art.1.2. supra, cu efecte pentru viitor.

1.4. In situatia in care doriti sa va dezabonati si sa nu mai fiti tinuti de Termenii și Condițiile sau doriți să dezactivati contul creat în Aplicatia Star Taxi, vă rugăm să ne solicitați în scris dezactivarea contului deja creat. Pentru evitarea oricarui dubiu se prevede ca dezabonarea dvs, nu are niciun efect in ceea ce priveste efectele juridice produse in perioada sau in legatura cu perioada in care ati fost inregistrati in Aplicatia Star Taxi.

2. Definitii termeni folositi

• “Aplicatia Star Taxi” – reprezinta partea din aplicatia dezvoltata de catre Star Taxi APP S.R.L sub numele “Star Taxi”, respectiv (i) modulul “Client”, sectiunea din acesta compatibila cu sistemul de operare al telefonului mobil al Clientului, in masura in care acesta este compatibil cu Aplicatia Star Taxi, conform celor precizate in prezentii Termeni si Conditii, precum si (ii) parte din aplicatia web Star Taxi, disponibila Clientului prin acces la Internet. Pentru evitarea oricarui dubiu anumite servicii sau functionalitati din Aplicatia Star Taxi se pot modifica sau pot sa nu mai fie furnizate in orice moment, la deplina discretie a Star Taxi APP S.R.L.
• “Autorizatii de Transport” – reprezinta toate si orice autorizati, licente, permise, avize sau inscrisuri similare emise de autoritatile competente conform prevederilor Legii nr. 38/2003 si care dau dreptul Soferilor si/sau Transportatorilor, astfel cum acestea sunt definiti in continuare, sa execute servicii de transport persoane in regim de taxi, conform prevederilor Legii nr. 38/2003.
• “Client” – reprezinta persoana fizica sau juridica care foloseste in mod legal Aplicatia Star Taxi, prin insusirea prezentilor Termeni si Conditii.
• “Transportator” – reprezinta transportatorul taxi astfel cum acesta este definit de prevederile Legii nr. 38/2003.
• “Termeni si Conditii” – Reprezinta prezentii Termeni si Conditii impreuna cu toate si orice alte inscrisuri la care se face trimitere si se precizeaza ca fac parte integranta din acestea.
• “Serviciile Star Taxi” – Inseamna serviciile mentionate la art. 5 din prezentii Termeni si Conditii.
• “Serviciile Suplimentare Star Taxi” – Inseamna serviciile suplimentare mentionate la art. 5 din prezentii Termeni si Conditii.
• “Star Taxi APP S.R.L.” – Societatea STAR TAXI APP SRL, cu sediul in Bucuresti, Splaiul Independentei, Nr 319, OB 421, Intrarea III, Sema Parc, Sector 6, inregistrata la Registrul Comertului sub nr. J40/13115/2011, CUI RO29300987, cont bancar IBAN IBAN RO77 INGB 0001 0081 9967 8910 deschis la ING sucursala Unirii, reprezentata de Dl. Vicol Moldoveanu, in calitate de administrator.
• “Sofer” – Inseamna sofer de taxi in conformitate cu prevederile Legii nr. 38/2003.
• “Utilizator” – Inseamna oricare dintre Clienti, Soferi si/sau Transportator, dupa caz.
• “Zona de Autorizare” – Reprezinta zona geografica si legala pentru care Transportatorul, are dreptul de a presta Servicii de Transport, in conformitate cu prevederile Legii nr. 38/2003, si in masura in care Aplicatia Star Taxi este disponibila in mod legal intr-o astfel de zona.

4. Conditii de folosire a Aplicatiei Star Taxi

A. Conditii Generale de folosire a Aplicatiei Star Taxi

4.1. Prin prezenta Clientul declara si garanteaza ca are peste 18 ani impliniti si ca are deplina capacitate de exercitiu.

4.2. Clientul declara si garanteaza ca accesul la aplicatia Star Taxi si folosinta acesteia sau a oricarei functii a acesteia este acordata de catre Star Taxi APP S.R.L. exclusiv pentru folosinte necomerciale ale aplicatiei Star Taxi. Orice folosinta comerciala a aplicatiei Star Taxi sau a oricarei functii a acesteia se poate face doar cu consimtamantul prealabil, exprimat in scris al Star Taxi APP S.R.L.

4.3. Clientul declara ca intelege pe deplin si accepta intru-totul ca prin Aplicatia Star Taxi, Clientul va putea plasa solicitari de Servicii de Transport catre Soferi si/sau Transportatori in vederea incheierii unor contracte de transport fara insa a-i fi garantata in vreun fel (explicit sau implicit) incheierea unor contracte de transport. Clientul declara ca intelege pe deplin si accepta intru-totul faptul ca Star Taxi APP S.R.L. nu este si nu devine in niciun moment parte din activitatile precontractuale de transport precum si din contractul de transport ce se va incheia exclusiv intre Client, pe de-o parte, si Sofer si/sau Transportator, pe de alta parte. Clientul, prin prezenta, renunta la toate si orice pretentii prezente sau viitoare deduse din toate si orice activitati sau omisiuni pre-contractuale precum si din cele legate de sau in legatura cu Serviciile de Transport si/sau contractul de transport incheiat intre Client, pe de-o parte, si Sofer si/sau Transportator, pe de alta parte.

4.4. Clientul declara ca intelege pe deplin si accepta intru-totul ca prezentii Termeni & Conditii se pot modifica in orice moment, la libera si simpla discretie a Star Taxi APP S.R.L., inclusiv posibilitatea de a inceta cu totul licentierea in orice fel a Aplicatiei Star Taxi. Clientul declara ca intelege pe deplin si accepta intru-totul ca in absenta celor de mai sus Star Taxi APP S.R.L. nu ar fi permis niciodata accesul Clientului la Aplicatia Star Taxi.

4.5. Colectarea, stocarea si prelucrarea oricaror date cu caracter personal in executarea oricaror drepturi si obligatii aferente prezentelor Termeni si Conditii se vor face in deplina comformitate cu Politica de Confidentialitate, parte integranta din prezentii Termeni si Conditii.

B. Conditii tehnice minime de accesare si utilizare a Aplicatiei Star Taxi

4.6. Aplicatia Star Taxi poate functiona pe orice tip de dispozitiv (telefon sau tabletă) cu sistem de operare Android și care îndeplinește următoarele condiții:

(a) dispozitivul are chipset GPS;

(b) dispozitivul are toate opțiunile specifice funcționării active optime, respectiv:

– opțiunea GPS activată;

– toate serviciile de localizare activate;

– opțiunea de date mobile activată.

(c) sistem de operare: minim Android 5.0 si minim IOS 11.0.

4.7. Aplicatia Star Taxi este compatibilă cu oricare dintre rețelele mobile cu conexiune de date mobile 3G sau 4G din Romania.

4.8. Pentru probleme in activarea Aplicatiei Star Taxi va rugam sa va adresati call center-ului Star Taxi APP S.R.L., parte din Serviciile Suplimentare Star Taxi.

4.9. Desi Star Taxi APP SRL a depus eforturi pentru asigurarea accesibilitatii si utilizarii interfetei tehnice incluse in Aplicatia Star Taxi prin internet („online”) a informatiilor aferente Aplicatiei Star Taxu, Star Taxi APP S.R.L. nu raspunde pentru compatibilitatea echipamentelor, sistemelor sau programelor folosite de Client cu interfata tehnica inclusa in Aplicatia Star Taxi pentru accesarea/furnizarea online a functiilor Aplicatiei Star Taxi. Fara a aduce atingere celor aratate anterior Star Taxi APP S.R.L. NU GARANTEAZĂ funcționarea contului Clientului și/sau a oricărei funcționalități a Aplicatiei Star Taxi in situatii in care

– dispozitivul Clientului folosește pentru conectarea la rețelele wireless Internet;

– orice alte aplicații neautorizate de Star Taxi APP S.R.L. sunt instalate pe dispozitivul Clientului și modifică parametrii normali de funcționare ai aplicației (de ex. Fake GPS);

– în mod specific, dacă pe dispozitivul Clientului pe care este instalată Aplicatia Star Taxi, sunt instalate și alte aplicații sau programe software care intervin sub orice formă în timpul funcționării normale a Aplicatiei Star Taxi, modificând oricare dintre parametrii acesteia, Star Taxi APP S.R.L. nu garantează funcționarea platformei, iar Clientul respectiv poate fi sancționat prin întreruperea (temporara sau permanenta) a utilizării Aplicatiei Star Taxi.

5. Aplicatia Star Taxi. Serviciile Star Taxi. Serviciile Suplimentare Star Taxi

5.1. In considerarea platii redeventelor prevazute de prezentii Termeni si Conditii, Star Taxi APP S.R.L. acorda Clientului o licenta cu privire la Aplicatia Star Taxi care este:

– neexclusiva;

– netransmisibila;

– temporara, pe durata pentru care s-a platit redeventa corespunzatoare

– limitata teritorial la Romania, sub conditia ca Aplicatia Star Taxi este disponibila numai in anumite locatii din Romania;

– pentru un singur dispozitiv;

5.2. Licenta asupra Aplicatiei Star Taxi vizeaza facilitarea accesului la Serviciile de Transport prin plasarea de catre Client a unor Solicitari de Servicii de Transport catre Soferi si/sau Transportatori in vederea incheierii de contracte de transport.

5.3. Prin utilizarea Aplicatiei Star Taxi nu se creaza si nu se poate interpreta ca se creaza vreo relatie contractuala/delictuala intre (i) Star Taxi APP S.R.L si Clienti sau (ii) vreo alta relatie contractuala intre Star Taxi si Soferi si/sau Transportatori. Pentru evitarea oricarui dubiu se prevede ca toate si orice obligatii ce se nasc din sau in legatura cu incheierea, executarea si sau terminarea in orice fel a Serviciilor de Transport implica exclusiv Soferul si/sau Transportatorul, pe de-o parte, si Clientul, pe de alta parte, Star Taxi APP S.R.L. fiind un tert desavarsit fata de Serviciile de Transport. De asemenea, Star Taxi APP S.R.L. nu garanteaza in vreun fel pe Client ca acesta va putea incheia contracte de transport prin utilizarea Aplicatiei Star Taxi.

5.4. Toate si orice drepturi de proprietate intelectuala aferente Aplicatiei Star Taxi sunt si raman ale Star Taxi APP S.R.L. iar Clientul declara si garanteaza ca va respecta intru-totul drepturile Star Taxi APP S.R.L. asupra Aplicatiei Star Taxi si, fara a aduce atingere generalitatii si intinderii acestei obligatii, nu vor:

– realiza niciun fel de copiere a Aplicatiei Star Taxi, in tot sau in parte;

– realiza niciun fel de actiuni de decompilare a Aplicatiei Star Taxi, in tot sau in parte;

– realiza niciun fel de actiuni de reverse engineering a Aplicatiei Star Taxi, in tot sau in parte;

– realiza niciun fel de opera derivate din Aplicatia Star Taxi;

– încerca sa intre, în orice mod, în conținutul Aplicatiei Star Taxi si nu vor șterge sau modifica prin orice modalități materialele și/sau informațiile livrate prin intermediul Aplicatiei Star Taxi;

– încerca de a testa sau scana vulnerabilitatea oricărui sistem din Aplicatia Star Taxi, accesând orice servere sau servicii din Aplicatia Star Taxi, indiferent daca sunt sau nu publice, fără autorizarea prealabila a Star Taxi APP S.R.L.;

– încerca de a interveni în funcționarea serverelor de găzduire sau a Aplicatiei Star Taxi prin orice moduri, inclusiv atacarea lor prin „flooding” sau „DOS”;

– utiliza l Aplicatia Star Taxi pentru distribuirea de mesaje comerciale nesolicitate („spaming”), politice, rasiale, discriminatorii in orice fel, culturale, comerciale sau în orice alt scop decât trimiterea de mesaje personale justificate, conform prezentilor Termeni si Conditii;

– realiza niciun alt fel de activitati ilicite sau interzise in alt fel, inclusiv acele utilizari ce vor fi ulterior declarate ca interzise de catre Star Taxi APP S.R.L., fie ca urmare a modificarii prezentilor Termeni si Conditii, prin comunicari de orice fel.

5.5. Star Taxi APP S.R.L. furnizeaza, cu caracter auxiliar si discretionar licentei Aplicatiei Star Taxi si urmatoarele Servicii Suplimentare Star Taxi:

– call center  disponibil la tel: +40 732 592 210 in intervalul orar 24/7.

5.6. Serviciile Star Taxi pot fi modificate in orice moment, la deplina discretie a Star Taxi APP S.R.L. iar modificarile vor deveni obligatorii prin modificarea prezentilor Termeni si Conditii. Serviciile Suplimentare Star Taxi pot fi modificate si intrerupte de catre Star Taxi APP S.R.L. in orice moment, cu efect imediat, fara a mai fi nevoie de modificare prezentilor Termeni si Conditii.

6. Redevente Datorate. Politici de marketing ale Star Taxi APP S.R.L.

6.1. Pentru activitatile de intermediere realizate cu ajutorul Aplicatiei Star Taxi nu sunt datorate niciun fel de redevente de catre Client. Pentru evitarea oricarui dubiu se prevede ca orice estimare a valorii unei tranzactii asociate prestarii oricaror Servicii de Transport afisate de Aplicatia Star Taxi are doar o valoare informativa si estimativa si nu obliga in niciun fel finalizarea Serviciilor de Transport in acord cu o astfel de estimare.

6.2. In situatia in care Clientul intelege sa plateasca cu cardul bancar prin intermediul Aplicatiei Star Taxi, la orice incheiere a unui contract de transport, Clientul va datora Star Taxi APP S.R.L. o redeventa de 2 [doi] RON (suma ce include TVA-ul aferent) pentru fiecare contract de transport incheiat prin Aplicatia Star Taxi si care se va plati prin debitarea contului bancar al Clientului. Pentru evitarea oricarui dubiu, redeventa mentionata este datorata de Client (i) pentru incheierea contractului de transport iar nu pentru executarea sa, (ii) indiferent daca Clientul anuleaza sau nu ulterior comanda sau nu se prezinta la comanda si (iii) indiferent de valoarea finala a serviciului de transport prestat. In cazul platilor realizate de catre Client prin card bancar, date fiind cerintele operatorilor de plati, Clientul declara ca intelege si accepta ca se pot impune valori minimale ale unei tranzactii, valoare care se poate modifica in timp. Astfel, in situatia in care valoarea unei tranzactii a Clientului este mai mica decat valoarea minima mentionata anterior, Clientul este de acord ca debitarea cardului sau bancar si plata Serviciilor de Transport realizate de Client sa se faca prin raportarea la o astfel de valoare minima mentionata. Valoarea minima este de 12 [doiesprezece] RON si nu include redeventa de 2 [doi] RON datorata de Client catre Star Taxi APP S.R.L.

6.3. Prin derogare de la orice prevederi legale contrare plata redeventei se considera legal facuta numai la data creditarii integrale a contului Star Taxi APP S.R.L.cu nr. RO77INGB0001008199678910 deschis la banca ING Bank. Platile partiale nu vor fi luate in considerare.

6.4. Orice modificari de redevente sau introducerea de noi redevente se vor comunica si vor deveni efective dupa publicarea lor in Termeni si Conditii.

6.5. La solicitarea Clientului Star Taxi APP S.R.L. va pune la dispozitia Clientului (in format electronic, la adresa email precizata de Client la inrolarea in Aplicatia Star Taxi) facturi pentru Redeventele pe care Star Taxi APP S.R.L. le incaseaza de la Client.

7. Obligatiile Clientului

7.1. Clientul fata de Star Taxi APP S.R.L.:

– se obliga sa faca plata redeventelor prevazute de art. 6 supra;

– se obliga sa urmeze intocmai procedurile de inrolare in Aplicatia Star Taxi si sa puna la dispozitia Star Taxi APP S.R.L. toate datele si inscrisurile solicitate;

– se obliga sa respecte toate si orice cerinte legale ce tin de contractul de transport pe care urmareste sa-l incheie;

– se obliga sa se prezinte la cursa in locul indicat si la timpul indicat de catre Sofer cu ocazia incheierii contractului de transport prin intermediul Aplicatiei Star Taxi;

– se obliga sa aiba un comportamant civilizat si decent in relatia cu Soferul. In acest sens, avand in vedere si legislatia incidenta, Clientul declara ca intelege si ca accepta faptul ca i se va putea refuza imbarcarea in masura in care se afla in stare de ebrietate sau sub influenta consumului de droguri, provoaca scandal etc.

– se obliga sa respecte drepturile de proprietate intelectuala ale Star Taxi APP S.R.L. si sa-i aduca de indata la cunostinta acestuia orice incalcare sau suspiciune de incalcare a drepturilor sale de proprietate intelectuala. Pentru evitarea oricarui dubiu si fara a aduce atingere generalitatii prezentei obligatii, Clientul se obliga sa respecte (a) toate si orice drepturi de autor relative la Aplicatia Star Taxi sau alte drepturi de autor, in confomitate cu prevederile Legii nr. 8/1996, (b) drepturile la marcile detinute de Star Taxi APP S.R.L. fie la nivel national, in temeiul Legii nr. 84/1998, fie la nivel comunitar si/sau (c) orice alte drepturi de proprietate intelectuala apartinand Star Taxi App S.R.L sau oricare dintre afiliatii sai;

– se obliga sa furnizeze date corecte in toate interactiunile si comunicarile cu Site-ul si Aplicatia Star Taxi;

– isi asuma responsabilitatea pentru actiunile sale pe Site, Aplicatia Star Taxi si in prezenta partenerilor nostri precum Soferii;

– este de acord sa primeasca oferte si materiale promotionale din partea Star Taxi  APP S.R.L. si a partenerilor acestuia; in conformitate cu preferintele de marketing setate in contul personal din site-ul sau Aplicatia Star Taxi;

– nu va publica materiale obscene, defaimatoare, abuzive in orice fel, ilegale conform cu prevederile legale actuale;

– nu va abuza de functionalitatea Site-ului si a Aplicatiei Star Taxi si nu va intreprinde actiuni pe acestea ce pot aduce daune Star Taxi APP S.R.L., incluzand dar nefiind limitate la, introducerea de virusi, cod malefic, modificarea, copierea sau stergerea oricarei informatii de pe Site cu exceptia datelor cu caracter personal;

– se obliga sa nu comita niciun fel de fraude cu Aplicatia Star Taxi sau in legatura cu aceasta.

– este de acord cu prelucrarea datelor cu caracter personal in vederea folosirii Aplicatiei Star Taxi;

– este de acord ca feed-back-ul eventual primit de la Soferi si/sau Transportatori sau de la autoritati sa poata fi folosite in cadrul algoritmilor Aplicatiei Star Taxi atunci cand propune potentiali Soferi si/sau Transportatori pentru efectuarea Serviciilor de Transport.

– intelege si accepta ca Star Taxi APP S.R.L. nu poate garanta un anumit nivel de satisfactie a Clientului dedusa din sau in legatura cu Serviciile de Transport contractate prin Aplicatia Star Taxi si de asemenea, ca Star Taxi APP nu are si nu poate avea niciun fel de raspundere dedusa din sau in legatura cu un contract de transport incheiat prin intermediul Aplicatiei Star Taxi.

– nu va folosi Site-ul si Aplicatia Star Taxi pentru activitati de spam in niciun fel, incluzand campanii electorale, colectarea de nume sau adrese de mail sau orice fel de date puse la dispozitie de catre Site si/sau prin Aplicatia Star Taxi;

– intelege si accepta ca Star Taxi APP S.R.L. nu este si nu poate fi in niciun fel raspunzatoare, contractual sau delictual si indiferent de teoria juridica pe care s-ar putea intemeia), pentru orice fel de activitati vatamatoare (referitoare la bunuri si/sau persoane) aduse Clientului sau oricaror persoane care beneficiaza de Serviciile de Transport contractate de Client prin  intermediul Aplicatiei Star Taxi, produse de Soferi si/sau Transportatori si/sau orice persoane care abuzand de Aplicatia Star Taxi, presteaza Serviciile de Transport fara a avea un astfel de drept sau invoca un drept care nu mai este valid la momentul prestarii Serviciilor de Transport sau in situatia in care nu are o relatie contractuala valida cu Star Taxi APP S.R.L. pentru a folosi Aplicatia Star Taxi.

– se obliga sa respecte intocmai orice alte obligatii din prezentii Termeni si Conditii.

8. Limitarea sau interzicerea accesului la Aplicatia Star Taxi

8.1. Clientul suporta raspunderea totala pentru acuratetea datelor furnizate, precum si pentru confidentialitatea lor. Acesta va notifica imediat Star Taxi APP S.R.L. in cazul compromiterii contului sau, sau a oricaror date legate de acesta incluzand dar nefiind limitate la nume, data nasterii, date carduri de credit, parole, nume Utilizatori si altele. Clientul isi asuma intreaga raspundere pentru activitatea sa pe Site si in Aplicatia Star Taxi, pentru comentariile, postarile, contul, datele si orice alta interactiune cu Siteul sau Aplicatia Star Taxi. Utilizatorul este responsabil de restrictionarea accesului la device-urile sale, acolo unde este cazul. Asadar, este responsabil cu pastrarea integritatii contului sau in Aplicatia Star Taxi si isi asuma raspunderea pentru toate activitatile care au loc prin intermediul acestuia. Utilizarea frauduloasa, abuziva, accesul neautorizat, copierea sau modificarea de date, imagini, sau orice parte a Site-ului este nepermisa si se va pedepsi conform legii. Star Taxi APP S.R. isi rezerva dreptul de a inchide, suspenda sau altera accesul oricarui Client la Site si/sau Aplicatia Star Taxi sau la oricare parte a acestuia, fara notificare si fara dovezi, ca urmare a suspiciunilor de utilizare abuziva si contrar scopului Site-ului si Aplicatiei Star Taxi din partea Clientului.

8.2. Star Taxi APP S.R.L. nu este si nu va putea fi interpretata ca facand parte din raporturile contractuale de transport rezultate din licentierea Aplicatiei Star Taxi in conformitate cu prezentii Termenii si Conditii. Contractul de transport se incheie in mod direct si exclusiv intre Sofer si/sau Transportator si Client, Aplicatia Star Taxi facilitand numai posibilitatea Clientului de a angaja in mod direct Serviciile de Transport Cu toate acestea, Clientul declara ca intelege si este de acord ca lui Star Taxi APP S.R.L. nu ii poate fi indiferent modul de realizare si prestare a Serviciilor de Transport in conditiile in care acestea se reflecta in mod direct in (i) numarul de descarcari al Aplicatiei Star Taxi de catre Clienti si Soferi si/sau Transportatori si (ii) frecventa utilizarii Aplicatiei Star Taxi de catre Clienti si Soferi si/sau Transportatori. Astfel, avand in vedere toate cele de mai sus, Clientul se declara de acord ca Star Taxi APP S.R.L., fara a aduce atingere dreptului Star Taxi APP S.R.L. de a rezilia in orice moment contractul cu Clientul si pe langa acesta, sa aplice un set de sanctiuni ce pot fi sub forma unei suspendari temporare a posibilitatii de a receptiona/solicita prin Aplicatia Star Taxi Servicii de Transport (care nu vor depasi 72 de ore pentru abateri individuale si respectiv 120 de ore in situatia in care se comit 2 sau mai multe abateri individuale – situatia de recidiva –  in interval de o saptamana de la prima abatere individuala) sau interzicerea utilizarii Aplicatiei Star Taxi pentru cel mult un an de zile dupa rezilierea de catre Star Taxi APP S.R.L. a contractului cu un anumit Client.

8.3. Clientul este de acord in mod expres ca regimul sanctionatoriu prevazut de art. 8.1. si 8.2. supra sa fie aplicabil si in orice situatii de incalcari ale prezentilor Termeni si Conditii si, fara a aduce atingere generalitatii prezentei clauze, in mod deosebit in situatiile de frauda comise cu ajutorul sau in legatura cu Aplicatia Star Taxi.

9. Declinarea si Limitarea Raspunderii Star Taxi APP S.R.L.

9.1. Furnizarea Aplicatiei Star Taxi de catre Star Taxi APP S.R.L. se face „CA ATARE„, respectiv „ASA CUM ESTE DISPONIBIL„, fara nicio reprezentare sau aprobare si fara vreo garantie, fie ea expresa sau implicita.

9.2. Star Taxi APP S.R.L. si entitatile asociate sau afiliate cu Star Taxi APP S.R.L, inclusiv orice angajat, consultant, avocat, director sau administrator al acestora, nu vor fi raspunzatori pentru nici o pierdere directa, indirecta sau aferenta si pentru nici un fel de prejudicii (incluzand, fara a se limita la: pierderea afacerii sau oportunitatii, pierderea de date, venituri sau profituri de orice fel) decurgand din sau in legatura cu utilizarea Aplicatiei Star Taxi.

9.3. Star Taxi APP S.R.L nu declara si nu ofera nici o garantie ca Aplicatia Star Taxi va raspunde asteptarilor Clientului altfel decat s-a prevazut explicit in cadrul prezentilor Termeni si Conditii si nici ca functionalitatea Aplicatiei Star Taxi va fi neintrerupta sau fara erori, ca defectele vor fi corectate sau ca Aplicatia Star Taxi produsele din cadrul acestei aplicatii sau serverul care le face disponibile sunt lipsite de virusi informatici sau orice alte elemente care pot afecta sistemele cu care interactioneaza direct sau indirect.

9.4. Star Taxi APP S.R.L si/sau entitatile asociate sau afiliate cu Star Taxi APP S.R.L isi rezerva dreptul de a va refuza oricand accesul (chiar fara preaviz) la Aplicatia Star Taxi si de a nu raspunde pentru utilizarea neautorizata/frauduloasa a Aplicatiei Star Taxi.

9.5. Star Taxi APP S.R.L si/sau entitatile asociate sau afiliate cu Star Taxi APP S.R.L isi rezerva dreptul de a refuza sau de a elimina (chiar fara preaviz) imagini sau texte postate in Aplicatia Star Taxi ori transmise prin mijloacele de comunicare si/sau de utilizare a ofertelor.

9.6. In toate si in orice situatii in care este implicata raspunderea Star Taxi APP S.R.L., toate si orice raspunderi, deduse din prezentii Termeni si Conditii, din orice alta cauza contractuala sau delictuala, si indiferent de teoria sau cauza juridica pe care se sprijina va fi limitata la suma de 100 [o suta] Euro.

9.7. Star Taxi APP S.R.L nu va raspunde in nicio situatie de forta majora sau caz fortuit.

10. Comunicari prin Aplicatia Star Taxi

A. Comunicarile dintre Sofer si/sau Transportator si Client

10.1.[Soferul si/sau Transportatorul sunt de acord sa furnizeze date de contact telefonic. Cu toate acestea, numai Clientul va putea initia comunicarea cu Soferul si/sau Transportatorul prin telefonul indicat sau direct prin Aplicatia Star Taxi (i.e mesaje tip push notification). Comunicarile initiate de Client se vor referi strict la cele ce tin de incheierea si executarea contractului de transport dintre Sofer si/sau Transporator si Client.

B. Comunicarile dintre Star Taxi APP S.R.L. si Client

10.2. Clientul va permite trimiterea de orice comunicari, inclusiv cele comerciale conform preferintelor setate in contul personal din site-ul sau aplicatia Star Taxi, din partea Star Taxi APP S.R.L. prin:

– intermediul Aplicatiei Star Taxi;

– intermediul email la adresa indicata la inrolare in Aplicatia Star Taxi;

– intermediul telefonului mobil indicat la inrolare in Aplicatia Star Taxi;

10.3. Clientul va comunica in mod valid cu Star Taxi APP S.R.L. prin:

– intermediul Aplicatiei Star Taxi;

– pentru chestiuni de suport, conform celor aratate in cuprinsul prezentilor Termeni si Conditii in sectiunea referitoare la Serviciile Suplimentare Star Taxi.

C. Alte comunicari din partea unor terte parti

10.4. Clientul este de acord ca prin intermediul Aplicatiei Star Taxi, Star Taxi APP S.R.L. sa faciliteze comunicarile de mesaje comerciale ale unor terte parti, conform preferintelor de marketing setate in contul personal din Aplicatia Star Taxi.

10.5. Star Taxi APP S.R.L. nu este in niciun fel implicata in descrierea continutului unor astfel de mesaje si nu va raspunde in niciun fel de situatii in care astfel de mesaje ale unor terte parti conduc la angajarea oricaror forme de raspundere juridica. Clientul declara si garanteaza ca intelege pe deplin toate acestea si este intru-totul de acord cu absenta oricarei raspunderi a Star Taxi APP S.R.L.

11. Drept Aplicabil si Jurisdictie

11.1. Prezentii Termeni si Conditii vor fi guvernati si interpretati exclusiv in conformitate cu legea romana.

11.2. Toate si orice dispute vor fi solutionate de catre instantele de judecata competente material de la sediul Star Taxi APP S.R.L.

12. Clauze Finale

12.1. Prezentii Termeni si Conditii reprezinta unica intelegere intre Partile mentionate aici si inlocuieste orice alte acorduri si/sau intelegeri anterioare intre Parti referitoare la obiectul prezentilor Termeni si Conditii.

12.2. Prin conventia expresa a Partilor, nulitatea sau inaplicabilitatea eventuala a unei clauze din Termeni si Conditii este limitata la aceasta si nu afecteaza in nici un caz celelalte dispozitii contractuale. In acest caz, Partile se obliga sa negocieze cu buna credinta in scopul de a stabili o noua dispozitie asupra careia sa existe acord reciproc, care va inlocui dispozitia nula sau inaplicabila si care, cat mai curand posibil, va produce efecte valabile intentiilor exprimate in Termeni si Conditii.

12.3. Nici o renuntare cu privire la orice incalcare sau nerespectare a prezentilor Termeni si Conditii, indiferent daca cealalta Parte are cunostinta de aceasta sau nu, nu va fi considerata renuntare referitoare la orice incalcare ulterioara sau o incalcare de o natura similara sau diferita.

12.4. Neinsistarea de catre o Parte asupra indeplinirii de catre cealalta Parte a oricarei prevederi continute in prezentilor Termeni si Conditii nu va fi considerata a fi o renuntare la drepturile Partii mai sus mentionate cu privire la respectivele prevederi.

12.5. Clientul accepta in mod expres sa renunte la posibilitatea de a invoca teoria impreviziunii in conditiile stabilite de art. 1271 Cod Civil. De asemenea, Soferul si/sau Transportatorul isi asuma in mod expres si exclusiv riscurile legislative.

12.6. Clientul declara in mod expres ca au inteles pe deplin si accepta intocmai clauzele din prezentii Termeni si Conditii.

12.7. Prezentii Termeni si Conditii se completeaza cu:
